Terms of Service

1. Acceptance of Terms

By accessing or using the TalentlyVerified platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is owned and operated by AKA Integrations LLC ("Company," "we," "us," or "our"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2. The Service

TalentlyVerified provides an AI-powered talent acquisition platform that enables organizations to create job roles, receive candidate applications, and evaluate candidates using artificial intelligence. Features include resume parsing, candidate scoring, screening question generation, and assessment criteria creation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts & Organizations

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

• You must provide accurate, current, and complete information during registration.
• Accounts are for individual users. Sharing login credentials between multiple people is prohibited.
• You must notify us immediately of any unauthorized use of your account at [email protected].
• Each subscription is associated with one Organization (Workspace). Creating multiple free-trial organizations to circumvent limits is prohibited.

4. Subscriptions & Payments

4.1 Plans & Pricing

The Service is offered under subscription plans as described on our Pricing page. Prices are in USD and exclude applicable taxes unless stated otherwise.

4.2 Free Trial

New accounts receive a 14-day free trial with full Core plan access. No payment method is required during the trial. After 14 days, continued use requires an active subscription.

4.3 Billing

Subscriptions are billed monthly or annually in advance. Payments are processed securely via our payment processor. By providing payment information, you authorize us to charge the applicable fees.

4.4 Cancellation & Refunds

You may cancel at any time. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for unused portions of a billing period. If you believe a charge was made in error, contact [email protected] within 30 days.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations, including employment discrimination laws.
• Use the AI scoring output as the sole basis for hiring decisions without human review.
• Harass, discriminate against, or violate the rights of candidates or other users.
• Upload or transmit malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to our systems or other accounts.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Resell or sublicense access to the Service without our written consent.
• Use automated tools to scrape or bulk-download data from the Service.

Violation of these rules may result in immediate suspension or termination of your account.

6. Mobile Messaging Service (SMS/MMS)

By opting into the TalentlyVerified mobile messaging service, you agree to these specific terms regarding communications:

• Program Description: TalentlyVerified sends automated text messages to candidates and users for job application status updates, interview screening invitations, and scheduling reminders.
• Message Frequency: Message frequency varies based on application activity and user interaction.
• Pricing: Message and data rates may apply.
• Opt-Out: You can cancel the SMS service at any time by texting "STOP" to our mobile number. After you send "STOP," we will send you one final message to confirm your unsubscription.
• Support: For help or information, reply "HELP" to any of our messages or email us at [email protected].
• Carrier Liability: Mobile carriers (e.g., AT&T, T-Mobile, Verizon) are not liable for delayed or undelivered messages.

7. Intellectual Property

The Service, including all software, algorithms, models, designs, and content created by AKA Integrations LLC, is our exclusive property and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property.

You retain ownership of all content you submit to the Service (job descriptions, candidate data, etc.). By submitting content, you grant us a limited license to use it to provide and improve the Service.

8. Your Data & Privacy

You are the "Data Controller" for candidate personal data you collect through the Service. You are responsible for ensuring you have the appropriate legal basis to collect and process candidate data, and for complying with applicable data protection laws.

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI-generated scores, rankings, and recommendations are tools to assist human decision-making, not definitive assessments of any individual's suitability for employment. AKA Integrations LLC does not guarantee the accuracy, completeness, or reliability of AI outputs.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AKA INTEGRATIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless AKA Integrations LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including employment and anti-discrimination laws.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or if we reasonably believe continuation of service poses legal or security risks.

Upon termination, your right to use the Service immediately ceases. You may export your data within 30 days of termination. After that period, we may delete your data subject to our retention policies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in North Carolina.
